Please read these Terms carefully before using the RoamOs platform. By using our Service, you confirm that you have read, understood, and agree to be bound by these Terms.
By accessing, registering for, or using the RoamOs platform (the "Service") operated by Roam Operating Systems Kenya ("Company", "we", "us", or "our"), you ("Operator", "you", or "your") agree to be bound by these Terms of Service ("Terms").
These Terms constitute a legally binding agreement under the Laws of Kenya, including but not limited to the Kenya Information and Communications Act (Cap. 411A) and the Computer Misuse and Cybercrimes Act, 2018. If you do not agree to these Terms in their entirety, you must not access or use the Service.
The Company reserves the right to update or modify these Terms at any time. Continued use of the Service after such changes constitutes your acceptance of the revised Terms. We will notify registered Operators of material changes via email or in-platform notice.
RoamOs is a Software-as-a-Service (SaaS) platform designed specifically for safari tour operators and wildlife travel companies. The Service provides tools for customer relationship management, itinerary building, voucher generation, financial reporting, rate management, and operational coordination.
Access to the Service is granted on a subscription basis to registered business entities. The Company does not guarantee uninterrupted or error-free access to the platform and shall not be liable for temporary unavailability due to maintenance, upgrades, or circumstances beyond our reasonable control.
Features and functionality of the Service may be updated, modified, or discontinued at the Company's discretion with reasonable notice to active subscribers.
To access the Service, you must create an operator account and provide accurate, complete, and current information about your business, including your company name, business registration number, and contact details. You warrant that all information provided during registration is truthful and that you are authorised to represent the business entity on whose behalf you are registering.
You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at security@roamos.com of any unauthorised access or security breach.
The Company reserves the right to suspend or terminate accounts where information is found to be inaccurate, misleading, or where the account is used in violation of these Terms or applicable Kenyan law.
The Service, including its source code, algorithms, user interface design, branding, and all underlying technology, is the exclusive intellectual property of Roam Operating Systems Kenya and is protected under the Kenya Industrial Property Act (Cap. 509) and applicable international intellectual property treaties.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal business operations during the subscription period. This licence does not permit you to sublicense, resell, reverse-engineer, copy, or create derivative works based on the Service or any component thereof.
All itineraries, guest data, rate structures, and content you create and upload to the platform ("Operator Content") remain your intellectual property. You grant the Company a limited licence to process and store your Operator Content solely for the purpose of delivering the Service to you.
You are solely responsible for the accuracy, completeness, and legality of all data you input into the platform, including but not limited to guest passport information, booking details, financial figures, and supplier vouchers.
RoamOs provides the infrastructure and tools; the Operator is responsible for verifying that all data meets the requirements of applicable laws, including the Tourism Act (Cap. 383) of Kenya and any regulations issued by the Tourism Regulatory Authority.
The Company shall not be liable for losses arising from inaccurate or incomplete data submitted by the Operator or their authorised users.
Access to the Service is subject to payment of subscription fees as communicated at the time of registration or as subsequently agreed in writing between the parties. All fees are quoted and payable in Kenyan Shillings (KES) unless otherwise agreed.
Subscription fees are billed in advance on a monthly or annual basis. Failure to pay within the stipulated period may result in suspension of access. The Company reserves the right to adjust pricing with a minimum of thirty (30) days' written notice.
All fees are exclusive of applicable taxes, including Value Added Tax (VAT) as required under the Kenya Revenue Authority regulations. You are responsible for all taxes associated with your use of the Service.
You agree not to use the Service for any unlawful purpose or in any manner inconsistent with these Terms. Prohibited conduct includes, but is not limited to: (a) using the platform to process fraudulent bookings or fictitious guest records; (b) attempting to gain unauthorised access to other operators' data; (c) uploading malicious code or interfering with platform infrastructure; (d) using automated scraping tools against the platform; or (e) circumventing any security or access-control features.
Any violation of these prohibitions may result in immediate account suspension, termination without refund, and where appropriate, referral to the relevant law enforcement authorities under the Computer Misuse and Cybercrimes Act, 2018.
To the maximum extent permitted by Kenyan law, Roam Operating Systems Kenya, its directors, employees, and agents shall not be liable for any indirect, incidental, consequential, or special damages arising from your use of or inability to use the Service, including loss of business, loss of revenue, or loss of data.
The Company's total cumulative liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total subscription fees paid by you in the three (3) months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.
Either party may terminate this agreement by providing thirty (30) days' written notice to the other party. The Company may terminate immediately and without notice in cases of material breach, fraudulent use, or conduct that poses a risk to the platform or other users.
Upon termination, your right to access the Service ceases immediately. You may request an export of your Operator Content within fourteen (14) days of termination. After this period, the Company may delete your data in accordance with our data retention policy.
Provisions of these Terms that by their nature should survive termination — including intellectual property rights, limitation of liability, and dispute resolution — shall continue to apply.
These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties.
If a dispute cannot be resolved through negotiation within thirty (30) days, it shall be referred to and finally resolved by arbitration in Nairobi, Kenya, administered in accordance with the Arbitration Act, 1995 (Cap. 49) of Kenya and the Nairobi Centre for International Arbitration Rules.
The arbitration shall be conducted in the English language and the decision of the arbitrator shall be final and binding on both parties. Nothing herein prevents either party from seeking interim injunctive relief from a court of competent jurisdiction in Kenya.
